HNI to Acquire Steelcase in $2.2 Billion Deal, Uniting Two Titans of American Office Furniture
|
Muscatine, Iowa & Grand Rapids, Michigan — August 4, 2025
In a stunning consolidation of the American office furniture industry, HNI Corporation announced on Monday that it has entered into a definitive agreement to acquire Steelcase Inc. in a cash-and-stock transaction valued at approximately $2.2 billion. The deal, which values Steelcase shares at $18.30—nearly 80% above Friday’s closing price—will unite two of the most storied names in workplace furnishings at a pivotal moment for the sector.
The terms of the deal will see Steelcase shareholders receive $7.20 in cash and 0.2192 shares of HNI common stock for each Steelcase share they own. Based on HNI’s August 1 closing price of $50.62, the deal implies a significant premium for Steelcase, whose shares had fallen 14% year-to-date. By contrast, HNI’s stock was flat heading into the announcement, but fell as much as 25% in early trading following the news.
Upon closing—expected by the end of the 2025 calendar year—HNI shareholders will own approximately 64% of the combined company, with Steelcase shareholders owning the remaining 36%.
A Merger of Midwestern Icons
Founded in 1944 and headquartered in Muscatine, Iowa, HNI Corporation has long been a quiet powerhouse in both commercial furnishings and residential building products. Best known for its HON and Allsteel brands, HNI is also the nation’s leading manufacturer of hearth products—fireplaces, stoves, and inserts that grace millions of homes. With operations spanning North America and an annual revenue of approximately $2.6 billion prior to the deal, HNI has steadily grown through acquisitions and product innovation.
Steelcase, founded in 1912 in Grand Rapids, Michigan, is synonymous with office furniture. A century ago, it built the world’s first metal wastebasket. Today, it is a global design leader, partnering with more than 30 creative and technology brands to develop workspaces that serve corporate offices, healthcare institutions, and educational environments. With 11,300 employees and a dealer network spanning 790 locations worldwide, Steelcase posted $3.2 billion in revenue and $81.1 million in net income in 2024.
Though both companies compete in similar markets, their product portfolios, geographic reach, and dealer networks have been described as “highly complementary.” HNI CEO Jeffrey Lorenger emphasized that synergy in a joint statement Monday morning.
“We have long admired Steelcase for its insight-led approach, which has helped shape our industry for decades,” Lorenger said. “With in-office work trends accelerating, this combination will allow us to better meet the evolving needs of the workplace, unlock growth, and create compelling value for shareholders.”
Steelcase CEO Sara Armbruster echoed that sentiment, calling the deal a “bold step” into the future.
“Together, we will be positioned to redefine what’s possible in the world of work, workers, and workplaces,” Armbruster said. “HNI shares our values, our purpose-driven approach, and our commitment to customer success.”
Industry Head-Hunter Stephen Viscusi commented:
“Jeff Loringer CEO of HNI is a smart and ambitious leader and acquired a brand who had been the gold standard of the contract industry. Steelcase leadership of late has let that brand tarnish and the stock has languishing since it went public. Jeff is just the person to polish that brand today. Steelcase greatest asset in the past couple of years has not been its products or leadership-- it is its Steelcase dealers."
"Lorenger now must convince those Steelcase dealers they will be as important as part of the HNI family, not an easy task--- otherwise I predict Haworth, MillerKnoll, Teknion may be flipping a lot of those dealers."
A Strategic Bet on the Office Comeback
The timing of the deal is not coincidental. After years of pandemic-induced remote work, the pendulum is swinging back toward the office. From hybrid return mandates to full-scale back-to-office movements, corporate America is once again investing in physical workspaces. The merger positions the combined company to capitalize on a renewed demand for office design, furnishings, and flexible work environments.
HNI said it expects the combined business to generate $5.8 billion in pro forma annual revenue and $745 million in adjusted EBITDA, inclusive of $120 million in annual run-rate synergies. The company anticipates the merger will be accretive to non-GAAP earnings per share starting in 2027. Net leverage is projected at 2.1x post-close and expected to return to pre-acquisition levels within 18 to 24 months.
According to industry insiders, the transaction is not just about cost synergies—it’s about strategic positioning. Both firms have invested in digital tools, sustainability initiatives, and customer-centric buying experiences. The merger is expected to accelerate those efforts, especially in areas like healthcare, education, and hospitality, where both companies have existing strengths.
Branding, Governance, and Leadership
Following the close of the transaction, the combined company will retain HNI’s name and maintain its corporate headquarters in Muscatine, Iowa. However, Steelcase will continue to operate under its own brand and maintain its Grand Rapids headquarters. CEO Jeffrey Lorenger will lead the combined organization, and HNI’s board will expand from 10 to 12 members, adding two independent directors from Steelcase.
J.P. Morgan Securities is serving as HNI’s exclusive financial advisor, with legal counsel from Davis Polk & Wardwell. Steelcase is being advised by Goldman Sachs and BofA Securities, with legal representation from Skadden, Arps, Slate, Meagher & Flom.
Market Reaction and Valuation
Steelcase shares soared over 45% in premarket trading Monday, reflecting investor optimism about the premium price and strategic rationale. HNI shares, meanwhile, fell nearly 25%, indicating short-term investor concern over the transaction’s cost and integration risks.
Steelcase closed Friday with a market cap of roughly $1.2 billion. The deal, valuing the company at $2.2 billion, implies a multiple of about 5.8 times trailing twelve-month adjusted EBITDA, a favorable figure given Steelcase’s recent underperformance in the public markets.
The Big Picture
This merger marks one of the most consequential developments in the office furniture industry in decades. It fuses the legacy of a design titan with the manufacturing prowess and operational rigor of a diversified conglomerate. At a time when work itself is being redefined—by AI, hybrid schedules, and shifting employee expectations—the combination of HNI and Steelcase signals confidence that physical workplaces still matter.
For an industry that has spent the last few years reckoning with obsolescence, this $2.2 billion vote of confidence may be exactly the jolt it needs.

Correction: Vitra’s EU-Based Manufacturing Likely Shields It from 39% Swiss Tariff—For Now
August 4, 2025 — A previously published report in early versions of today's MMQB suggested that Swiss furniture company Vitra would be directly impacted by the United States’ newly announced 39% tariff on Swiss imports set to take effect August 7. While Vitra is indeed headquartered in Switzerland and widely regarded as a Swiss design icon, its actual manufacturing operations are based in the European Union, primarily at its production campus in Weil am Rhein, Germany—just across the Swiss border.
This crucial distinction means that most, if not all, of Vitra’s products exported to the U.S. are classified as EU-origin goods. As such, they would not be subject to the 39% tariff imposed on Swiss-made products under the Trump administration’s latest trade actions.
QB's original report failed to clearly distinguish between the company’s Swiss headquarters and its EU manufacturing footprint. We regret the oversight and acknowledge that, unlike Swiss-made goods such as Nespresso machines, Swatch watches, and luxury textiles, Vitra’s furnishings are unlikely to face a direct pricing impact from the new tariff—at least not at this stage.
That said, the situation remains fluid. With ongoing U.S. trade disputes extending to both EU and non-EU countries, and Trump’s tariffs shifting targets with little warning, Vitra and other global design brands are right to remain cautious. Any further escalation with the EU—such as a renewed focus on French, German, or Italian exports—could eventually drag European-made Vitra products into the fray.
For now, Vitra customers in the U.S. can breathe easy. The sleek chairs, desks, and lounge pieces that define the company’s catalog will likely continue arriving at their American destinations Swiss tariff-free, assuming no further action is taken against the EU. Still, the episode highlights the precarious nature of global trade in the current environment—and how quickly a company’s geography can go from an afterthought to a headline.

San Francisco's office market is recovering from pandemic impacts, with a 61% increase in leasing activity in early 2025 compared to 2024, driven by an AI boom and major tech companies encouraging return-to-office policies. Despite still being 20% below pre-pandemic leasing levels, demand is rising, with 2.7M SF leased in Q2 2025. Shorter lease terms are common as companies remain cautious, but significant deals by firms like Coinbase and LinkedIn indicate renewed confidence. Mayor Lurie's efforts to improve the city's image are also contributing to a more favorable investment climate.

M&A Highlights from Stump & Company
In July, attendance at both the Atlanta Casual Show and the Las Vegas World Market was lower due to summer heat and trade concerns. While the high-end residential furnishing industry thrives as affluent consumers invest in homes, promotional suppliers and retailers struggle with inflation and economic uncertainty, leading to business closures. Commercial furnishings perform better as sectors like hospitality and education continue to remodel and expand, despite the U.S. government's reduction in purchasing activity. A divide exists among businesses: well-capitalized companies pursue acquisitions, while others struggle to maintain operations amidst rising borrowing costs. As baby boomers near retirement, M&A discussions are prevalent, with advice for sellers to prepare for a potential market upturn in 2026. Strategic buyers, private equity, and wealthy Chinese investors are expected to be significant players in upcoming transactions, while e-commerce is anticipated to regain momentum. In Canada, tariff discussions have spurred a nationalistic trend, resulting in increased sales growth for Canadian-made goods. The Stump team has successfully closed recent transactions, including the sale of a Houston showroom and a commercial furniture distributor, and continues to explore new opportunities.
